1. Acceptance of Terms

By accessing, registering for, or using Axelon HQ LLC services, software, platform, website, applications, or related services (collectively, the “Services”), you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least eighteen (18) years old and legally capable of entering into binding contracts to use the Services. By using the Services, you represent and warrant that:

  1. All information provided is accurate and complete;
  2. You have authority to enter into these Terms;
  3. Your use of the Services complies with all applicable laws and regulations.

3. Services Provided

Axelon HQ LLC provides business, compliance, logistics, carrier, broker, operational, onboarding, administrative, and technology-related services. We reserve the right to:

  1. Modify or discontinue any portion of the Services;
  2. Refuse service to anyone at our discretion;
  3. Suspend or terminate accounts for violations of these Terms.

4. User Accounts

Users may be required to create an account. You are responsible for:

  1. Maintaining the confidentiality of login credentials;
  2. All activity occurring under your account;
  3. Promptly notifying us of unauthorized access or security breaches.

Axelon HQ LLC is not liable for losses caused by unauthorized use of your account.

5. Payment Terms

5.1 Fees

Users agree to pay all applicable fees, subscriptions, service charges, onboarding fees, recurring charges, administrative fees, penalties, and other charges associated with the Services. All fees are non-refundable unless otherwise stated in writing.

5.2 Authorization to Charge Payment Method

By providing a payment method to Axelon HQ LLC, you expressly authorize Axelon HQ LLC and its payment processors to charge, debit, or otherwise process payment using any payment method on file for:

  1. Subscription fees;
  2. Recurring monthly charges;
  3. Compliance services;
  4. Administrative fees;
  5. Late fees;
  6. Failed payment recovery;
  7. Chargebacks;
  8. Penalties;
  9. Additional services requested;
  10. Outstanding balances owed to Axelon HQ LLC.

Continuous Payment Authorization

You expressly agree that Axelon HQ LLC may charge your card, ACH account, or other payment method on file without additional notice or separate authorization for any balance due under these Terms or any service agreement. This authorization remains in effect until:

  1. Your account is fully closed;
  2. All outstanding balances are paid in full; and
  3. Written revocation is approved by Axelon HQ LLC.

You acknowledge and agree that:

  1. Charges may occur automatically;
  2. Recurring billing may continue until canceled;
  3. Failed payments may result in additional fees or suspension of services;
  4. You are responsible for maintaining valid payment information.

5.3 Failed Payments

If a payment fails, Axelon HQ LLC may:

  1. Retry the payment method;
  2. Charge alternative payment methods on file;
  3. Suspend services;
  4. Send accounts to collections;
  5. Recover reasonable attorneys’ fees and collection costs.

6. Cancellation Policy

Users may cancel Services by either:

  1. Submitting a written cancellation request to support@axelonhq.com, or
  2. Logging into their Axelon HQ LLC account and submitting a cancellation request through the account portal.

To avoid future recurring charges, cancellation requests must be submitted at least three (3) to four (4) business days prior to the next scheduled billing date. Cancellation requests received fewer than three (3) business days before the billing date may result in the next scheduled payment being processed.

Users remain responsible for any outstanding balances, fees, or charges incurred prior to the effective cancellation date. Axelon HQ LLC reserves the right to verify account ownership before processing cancellation requests. Submission of a cancellation request does not waive unpaid balances or previously authorized charges.

7. No Guarantee of Results

Axelon HQ LLC does not guarantee:

  1. Business revenue;
  2. Compliance approval;
  3. Carrier authority approval;
  4. Regulatory approval;
  5. Employment;
  6. Financial success;
  7. Operational performance;
  8. Availability of loads, brokers, or contracts.

All Services are provided on an “as-is” and “as-available” basis.

8. Compliance Responsibilities

Users remain solely responsible for complying with all applicable:

  1. Federal laws;
  2. State laws;
  3. FMCSA regulations;
  4. DOT requirements;
  5. Insurance obligations;
  6. Tax obligations;
  7. Licensing requirements.

Axelon HQ LLC is not responsible for user noncompliance.

9. Intellectual Property

All content, branding, software, graphics, logos, systems, workflows, documents, and materials are the exclusive property of Axelon HQ LLC. Users may not:

  1. Copy;
  2. Reproduce;
  3. Sell;
  4. Distribute;
  5. Reverse engineer;
  6. Modify;
  7. Republish

any Axelon HQ LLC materials without written permission.

10. Confidentiality

Users agree not to disclose confidential or proprietary information obtained through Axelon HQ LLC, including:

  1. Pricing;
  2. Processes;
  3. Client lists;
  4. Internal systems;
  5. Business methods;
  6. Software access;
  7. Operational workflows.

This obligation survives termination of the relationship.

11. Prohibited Conduct

Users may not:

  1. Use the Services unlawfully;
  2. Submit false information;
  3. Attempt unauthorized access;
  4. Interfere with platform operations;
  5. Engage in fraud or chargeback abuse;
  6. Harass employees or users;
  7. Violate applicable regulations.

Axelon HQ LLC may immediately suspend or terminate accounts for violations.

12. Chargebacks and Payment Disputes

Users agree not to initiate improper chargebacks or payment disputes. If a chargeback is initiated:

  1. Axelon HQ LLC may suspend services immediately;
  2. Outstanding balances become immediately due;
  3. Users may be responsible for chargeback fees, legal fees, collection costs, and damages.

13. Limitation of Liability

To the maximum extent permitted by law, Axelon HQ LLC shall not be liable for:

  1. Indirect damages;
  2. Lost profits;
  3. Business interruption;
  4. Loss of data;
  5. Regulatory penalties;
  6. Delays;
  7. Third-party actions;
  8. Service outages.

Axelon HQ LLC’s total liability shall not exceed the total amount paid by the user within the previous three (3) months.

14. Indemnification

Users agree to defend, indemnify, and hold harmless Axelon HQ LLC, its owners, employees, affiliates, contractors, and agents from any claims, damages, liabilities, losses, or expenses arising from:

  1. User conduct;
  2. Violation of these Terms;
  3. Regulatory violations;
  4. Third-party disputes;
  5. Misuse of the Services.

15. Termination

Axelon HQ LLC may suspend or terminate access to Services at any time, with or without notice, for:

  1. Nonpayment;
  2. Violations of these Terms;
  3. Suspected fraud;
  4. Operational or legal reasons.

Termination does not eliminate outstanding payment obligations.

16. Electronic Communications

Users consent to receive electronic communications from Axelon HQ LLC including:

  1. Emails;
  2. SMS messages;
  3. Billing notifications;
  4. Compliance notices;
  5. Service announcements.

Electronic communications satisfy legal communication requirements.

17. Privacy

By using the Services, users consent to Axelon HQ LLC collecting, storing, and using personal and business information necessary to provide Services. Information may be shared with:

  1. Payment processors;
  2. Compliance partners;
  3. Government agencies when legally required;
  4. Service providers assisting operations.

18. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of [Insert State], without regard to conflict of law principles.

19. Dispute Resolution

Any dispute arising under these Terms shall first be attempted to be resolved informally.

If unresolved, disputes shall be resolved through binding arbitration in [Insert County/State], unless prohibited by law. Users waive the right to participate in class-action lawsuits.

Axelon HQ LLC may update these Terms at any time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
