Standard Carrier Protection Addendum

This Standard Carrier Protection Addendum (“Addendum”) is incorporated into and made part of every Broker-Carrier Agreement executed through the Axelon HQ LLC platform unless otherwise agreed to in writing by all parties. By utilizing the Axelon HQ LLC platform, Broker acknowledges and agrees to the terms contained herein. This Addendum governs operational procedures, accessorial compensation, electronic documentation, and payment obligations for all loads processed through the Axelon HQ LLC platform.

1. Electronic Execution

All documents executed through the Axelon HQ LLC platform, including Broker-Carrier Agreements, Rate Confirmations, amendments, approvals, and notifications, shall be deemed legally binding electronic records and signatures to the fullest extent permitted by applicable law.

2. Good Faith Performance

Broker and Carrier agree to conduct all business in good faith, communicate promptly regarding shipment issues, and cooperate to minimize delays while preserving the rights of both parties.

3. Detention Compensation

Carrier shall be entitled to detention compensation for delays occurring beyond the agreed free time at pickup or delivery when such delays are not caused by Carrier. Detention begins upon Carrier’s documented arrival and shall continue until loading or unloading is completed. Unless otherwise agreed in writing, detention shall be compensated at commercially reasonable market rates.

4. Layover Compensation

Carrier shall be entitled to layover compensation whenever a shipment is delayed until the following calendar day or longer due to Broker, Shipper, Receiver, or circumstances outside Carrier’s reasonable control.

5. Out-of-Route Mileage

Carrier shall receive additional compensation for all miles traveled beyond the originally dispatched route when requested or necessitated by the Broker, Shipper, Receiver, government authorities, road closures, weather events, or other circumstances beyond Carrier’s control.

6. Weight and Freight Discrepancies

If freight weight, dimensions, commodity description, hazardous material classification, pallet count, or loading configuration differs from information originally provided, Carrier shall be compensated for all resulting delays, reweighs, trailer changes, reloads, labor, permits, equipment, additional mileage, and operational expenses.

7. Truck Ordered Not Used (TONU)

If Broker cancels a shipment after Carrier has accepted dispatch, begun traveling to pickup, or arrived at the pickup location, Carrier shall be entitled to TONU compensation and reimbursement of any documented expenses incurred.

8. Driver Assist and Accessorial Services

Carrier shall be compensated for all additional services requested or required beyond standard transportation services, including but not limited to:

  • Driver assist
  • Hand unloading
  • Lumper fees
  • Pallet exchanges
  • Sort and segregate services
  • Re-delivery
  • Storage
  • Additional stops
  • Trailer washouts
  • Scale fees
  • Tolls
  • Escorts
  • Permits
  • Any service not disclosed prior to dispatch

9. Digital Accessorial Approval

The Axelon HQ LLC RateLockSync™ workflow serves as the preferred method for documenting and approving accessorial charges. Broker agrees to review and respond promptly to all electronically submitted requests. Failure to immediately respond shall not waive Carrier’s right to reasonable compensation for services performed.

10. ActiveTruckSync™ Carrier Verification

Broker acknowledges that Carrier compliance documentation maintained through Axelon HQ LLC’s ActiveTruckSync™ system is intended to reduce repetitive paperwork and improve operational efficiency. Broker may rely upon documents maintained within the ActiveTruckSync™ profile unless additional documentation is required by law or Broker’s insurer.

11. Payment of Freight and Accessorial Charges

Approved accessorial charges shall be paid under the same payment terms as the underlying freight charges. Broker shall not withhold payment for undisputed freight charges due to a dispute involving unrelated accessorial charges.

12. Documentation

Carrier may support accessorial requests through any commercially reasonable documentation, including:

  • GPS location history
  • Electronic Logging Device (ELD) records
  • Scale tickets
  • Time-stamped photographs
  • Bills of Lading
  • Signed delivery receipts
  • Lumper receipts
  • Fuel receipts
  • Dispatch records
  • Electronic communications
  • Axelon HQ LLC platform records

13. Operational Changes

Any change to pickup location, delivery location, appointment time, commodity, equipment requirements, temperature requirements, weight, dimensions, or routing after dispatch shall constitute a service modification for which Carrier shall be reasonably compensated.

14. Dispute Resolution

The parties agree to first attempt to resolve disputes through good-faith negotiations using documentation maintained within the Axelon HQ LLC platform before pursuing any other remedies available under applicable law or the governing Broker-Carrier Agreement.

15. Order of Precedence

This Addendum supplements the Broker-Carrier Agreement. To the extent there is a conflict regarding electronic workflow, document execution, accessorial compensation, operational changes, or Carrier protections for shipments processed through the Axelon HQ LLC platform, this Addendum shall control unless prohibited by applicable law.

Broker Acknowledgment

By uploading a Broker-Carrier Agreement, transmitting a Rate Confirmation, requesting Carrier services, or otherwise utilizing the Axelon HQ LLC platform, Broker acknowledges receipt of this Addendum and agrees that its terms apply to all shipments processed through the Axelon HQ LLC platform.
